These Terms of Use (“Terms”) govern your access to and use of the GolfDr™ mobile application, website, and related services (collectively, the “Services”), which are owned and operated by Drive Health Solutions, LLC (“Drive Health Solutions,” “GolfDr,” “Company,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms of Use, our Privacy Policy, and our HIPAA Notice of Privacy Practices.

If you do not agree to these Terms, you must not use the Services.

Throughout these Terms, GolfDr, Drive Health Solutions, Company, “we,” “us,” and “our” refer to Drive Health Solutions, LLC.

Acceptance of Terms

By accessing or using GolfDr™, you confirm that you accept these Terms of Use and agree to comply with them. If you do not agree, you should not use the Services.

We may update these Terms periodically. Continued use of the Services after any updates constitutes acceptance of those changes.

Services Description

GolfDr™ provides golf fitness programs, exercise content, wellness education, telehealth physical therapy consultations, secure messaging with licensed healthcare professionals (“Providers”), and digital exercise programs (the Services).

The Services include both general wellness services and healthcare services.

Healthcare services may be delivered in person, through telehealth, or through secure digital communications as part of an ongoing course of treatment. Healthcare services are provided only where legally permitted and where Providers are appropriately licensed.

Healthcare services available through the Services are provided by licensed healthcare professionals (Providers). The GolfDr™ platform facilitates communication and care delivery but does not itself provide clinical care; clinical services are provided by licensed Providers.

GolfDr™ fitness and educational content is provided for informational and wellness purposes only and is not a substitute for professional healthcare advice, clinical evaluation, diagnosis, or treatment. Users should seek appropriate in-person medical care when necessary.

Wellness vs Healthcare Services

The Services include both general wellness services and healthcare services. These categories are subject to different legal and regulatory requirements.

Wellness Services

Wellness services include fitness programs, exercise content, performance training programs, mobility programs, and educational materials. These services are general wellness tools intended to support fitness and injury prevention and do not constitute healthcare services.

Healthcare Services

Healthcare services include in-person physical therapy services, telehealth physical therapy consultations, clinical exercise programs prescribed by Providers, and secure clinical communications. These services constitute healthcare services and are provided only where Providers are appropriately licensed and where such services are legally permitted.

The classification of the Services as wellness or healthcare depends on how the Services are used. Information collected through wellness features does not become healthcare information unless and until it is used in connection with healthcare services.

Geographic Restrictions

Healthcare services are only available to users who are physically located at the time of service in U.S. states where our Providers are licensed.

Users must accurately represent their physical location at the time of receiving healthcare services, including telehealth consultations, clinical messaging with Providers, and other clinical interactions, and must update their location if it changes before receiving such services.

Fitness and wellness content remains available globally.

No Emergency Services

GolfDr does not provide emergency services.

If you believe you are experiencing a medical emergency, you should call 911, contact emergency services, or seek immediate in-person medical care.

GolfDr is not appropriate for urgent or emergency conditions.

Secure messaging is not intended for urgent or emergency communications and is not continuously monitored. Response times may vary, and users should not rely on messaging for time-sensitive healthcare needs.

Provider Relationship

Use of the Services does not establish a provider-patient relationship unless and until a consultation, clinical evaluation, or intake process occurs with a licensed Provider through the Services.

Messaging access alone does not create a clinical relationship.

Educational Content Disclaimer

Fitness and educational materials are provided for informational purposes only and are not a substitute for professional healthcare advice.

Users should consult an appropriate qualified healthcare professional before beginning any exercise program or making health decisions based on information provided through the Services.

Users should discontinue exercises and seek guidance from a qualified healthcare professional if they experience worsening pain, new symptoms, or unexpected physical limitations. Participation in any exercise program is voluntary, and users are responsible for monitoring their own physical condition during activity.

User Responsibilities

Users agree to provide accurate information, follow Provider instructions, use the Services lawfully, avoid misuse of the platform, and maintain account security.

The Company may suspend accounts that violate these Terms.

Electronic Communications Consent

By using the Services, you consent to receive communications including email, secure messaging, administrative SMS messages, and service notifications.

By providing your mobile number, you agree to receive SMS messages from the Company. We send messages in response to your interactions with the Services and your inquiries.

We send approximately 1–5 messages per week. Message frequency may vary. Standard message and data rates may apply.

You may withdraw consent to receive SMS messages at any time by replying STOP or emailing info@drivept.com.

Withdrawal of consent will prevent further SMS communications except as necessary to confirm your opt-out or comply with legal obligations.

Intellectual Property

All GolfDr™ content including videos, programs, software, design, text, and branding is owned by Drive Health Solutions, LLC.

Users receive a limited, non-transferable license to use the platform for personal use only.

No reproduction, distribution, or redistribution is permitted without written authorization.

Payments

Certain services require payment. Payments are processed through secure third-party vendors.

Fees may change from time to time. Refund policies may vary by service.

Third-Party Services

The Company may integrate third-party services. The Company is not responsible for third-party policies or practices.

Disclaimer of Warranties

Services are provided “as is.”

The Company does not guarantee outcomes, improvement, fitness gains, or medical results.

Limitation of Liability

The Company is not liable for indirect damages, lost profits, service interruptions, or user misuse.

Maximum liability is limited to fees paid for Services.

Indemnification

Users agree to indemnify the Company against claims arising from misuse of the Services.

Termination

The Company may suspend or terminate accounts that violate these Terms.

Users may discontinue use at any time.

Governing Law

These Terms are governed by the laws of the State of North Carolina.

Entire Agreement

These Terms of Use constitute the entire agreement between you and Drive Health Solutions, LLC regarding use of the Services and supersede any prior agreements or understandings relating to the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Drive Health Solutions, LLC (“Drive Health Solutions,” “GolfDr,” “Company,” “we,” “us,” or “our”) respects your privacy and is committed to protecting personal information.

This Privacy Policy explains how we collect, use, disclose, and safeguard information when you use the Services.

Some features of the Services are general wellness tools, while others involve licensed healthcare services subject to additional privacy protections.

Information We Collect

We may collect personal information including contact information, account credentials, payment information, device information, usage data, and health information related to telehealth services.

Information becomes Protected Health Information (“PHI”) only when collected in connection with healthcare services.

How We Use Information

We may use information to provide the Services, personalize programs, deliver telehealth services, improve performance and security, provide support, process payments, communicate with users, meet legal obligations, and conduct marketing activities where permitted and with appropriate consent.

We may also use aggregated or de-identified data for research, analytics, and product improvement.

Information Sharing

We do not sell personal information.

We may share information with Service Providers supporting payments, hosting, messaging, analytics, telecommunications, and operations; Providers involved in care delivery; and legal authorities where required by law.

Such sharing occurs only as necessary to provide the Services or comply with legal obligations.

Healthcare Information

Health information may be used as described in our HIPAA Notice of Privacy Practices.

Data Retention

Information is retained as necessary to provide the Services and comply with applicable law, including HIPAA and applicable state record retention requirements.

SMS communications and associated data are retained for seven (7) years from the date of last interaction, or longer if required by applicable law. After the applicable retention period, such data is securely deleted or de-identified in accordance with our data retention and disposal practices.

Healthcare records are retained for at least seven (7) years from the date of last service, or longer where required by law, including for minor patients, after which records may be securely archived or disposed of in accordance with applicable legal and regulatory requirements.

Security

We use administrative, technical, and physical safeguards including encryption, access controls, secure infrastructure, monitoring systems, and administrative protections.

No system is completely secure.

User Rights

Users may request access to their information, request corrections, and request deletion where permitted by law.

Children’s Privacy

Company does not target children under age 13 and does not knowingly collect information from children under 13.

Text Messaging and Mobile Communications

Consent to Receive Text Messages

By providing your mobile number through the Services, you consent to receive SMS communications related to your account and services. SMS communications are patient-initiated or sent with patient consent. Message frequency may vary. Standard message and data rates may apply. You may opt out at any time as described below.

SMS Data Collection

We collect phone numbers and message content for SMS communications. Your phone number is used solely for delivering SMS messages related to your account, services, and administrative support.

Permitted Uses of SMS

The Company may use SMS communications for administrative purposes such as authentication, scheduling notifications, service alerts, and support communications.

Message Purpose Limitation

SMS communications are limited to administrative and service-related purposes. The Company does not send marketing or promotional SMS messages without separate express consent.

SMS Security Limitations

SMS is not encrypted and may not be secure. Company does not provide clinical services via SMS. All clinical communication occurs through GolfDr™ secure messaging or other secure communication channels designated by the Company.

If you choose to send health information by SMS, you do so at your own risk. Users should avoid sending sensitive medical or health information through SMS and instead use secure messaging channels authorized by the Company.

If health information is sent by SMS, the Company and its Providers generally redirect clinical communications to secure messaging channels and may limit responses over SMS to administrative instructions directing users to secure communication channels.

SMS communications do not establish a provider-patient relationship and are not intended for diagnosis or treatment.

Mobile Data Privacy

We respect your privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

Information may be shared with Service Providers supporting customer support, secure messaging platforms, cloud hosting, electronic health record systems, and telecommunications providers only as necessary to provide the Services on our behalf.

All text messaging originator opt-in data and consent information will not be shared with any third parties except aggregators and providers of the text messaging services necessary to deliver communications.

We do not sell or rent personal information, including mobile numbers or messaging consent, to third parties.

Opt-Out Rights

You may withdraw consent to receive SMS messages at any time by replying STOP or contacting us at info@drivept.com or 919-410-8350. For assistance, reply HELP. Standard carrier rates may apply.

We comply with the Telephone Consumer Protection Act (TCPA) and applicable messaging regulations. We maintain records of consent and opt-out requests and honor all requests not to receive SMS communications.

International Transfers

Data may be processed in the United States. Future international transfers will be subject to appropriate safeguards.

Third-Party Links

GolfDr may link to third-party services. The Company is not responsible for their privacy practices.

Policy Changes

We may update this policy periodically. Notice may be provided via app notification, email, or website posting.

This Notice describes how healthcare information may be used and disclosed and your rights under HIPAA.

This Notice applies only to healthcare services provided by Drive Health Solutions, LLC. Information collected through general wellness features of the GolfDr™ platform, wellness programs, and performance or movement screening activities is not considered Protected Health Information (PHI) unless and until it is used by a licensed healthcare professional (“Provider”) in connection with healthcare services.

Wellness Screenings and Non-Clinical Activities

Certain wellness screenings, movement assessments, or performance evaluations may be conducted by trained staff or assistants who are not licensed healthcare Providers. These activities are intended for general wellness or performance purposes only and do not constitute healthcare services unless and until reviewed by a Provider as part of healthcare services.

Any feedback provided during these activities is educational in nature and is not medical advice, diagnosis, or treatment. Healthcare services are provided only through licensed Providers as part of a formal healthcare interaction.

Our Responsibilities

We must maintain privacy, provide this notice, follow this notice, and notify individuals of breaches as required by law.

Uses of PHI

We may use PHI for treatment, payment, and healthcare operations.

Additional Uses

PHI may also be used for quality improvement, legal compliance, public health activities, and research where permitted by law.

Your Rights

You have the right to access records, request corrections, request restrictions, request confidential communications, receive an accounting of disclosures, and file complaints.
